%3chtml%3e%3chead%3e%3ctitle%3eINSPIRO USER AGREEMENT%3c/title%3e%3c/head%3e%3cbody%3e%3ch1%3eINSPIRO USER AGREEMENT%3c/h1%3e%3cp%3eBETWEEN %281%29 IQS Avantiq A.G.%2c of Baarerstraße 98%2c 6302 Zug%2c Switzerland AND The Client%3c/p%3e%3cp%3ePursuant to which Avantiq agrees to furnish The Client with access to an on-line trademark searching service %28the Avantiq service%29%2c and The Client agrees to pay Avantiq’s fees for the provision of said service%2c where such access is not in respect of services being performed for Avantiq by The Client.%3c/p%3e%3ch2%3eTERMS AND CONDITIONS%3c/h2%3e%3ch3%3e1. GENERAL%3c/h3%3e%3cp%3eThe Client may use the Avantiq service%2c subject to the terms and conditions set out below. The Client acknowledges that the necessary terminal units and communications facilities compatible with access to the Avantiq service will be provided at The Client’s own expense.%3c/p%3e%3ch3%3e2. USER ID%3c/h3%3e%3cp%3eA User ID or ID’s shall be issued by Avantiq to The Client on acceptance of this agreement%2c and The Client agrees to be liable for all fees arising out of the said User ID or ID’s. This User ID is for The Client’s personal use only and may not be used by any person other than those employed by The Client.%3c/p%3e%3ch3%3e3. FEES%3c/h3%3e%3cp%3eA Fee List shall be issued to The Client together with The Client’s User ID%2c and The Client acknowledges and agrees to be liable for use of the Avantiq service in accordance with the fees set out in the Fee list. The User Id and Password will be provided without charge.%3c/p%3e%3cp%3eAvantiq undertakes to give a month’s notice to The Client of any increase in the Fee List.%3c/p%3e%3ch3%3e4. PAYMENT%3c/h3%3e%3cp%3eAvantiq will invoice The Client monthly%2c and The Client agrees to pay each invoice %3cb%3ewithin 60 %28sixty%29 days%3c/b%3e of the date of the invoice. The Client acknowledges and agrees to be liable to pay all Avantiq’s expenses%2c including attorney fees%2c incurred in connection with the collection of overdue amounts%2c by court action or otherwise.%3c/p%3e%3ch3%3e5. THE AVANTIQ SERVICE%3c/h3%3e%3cp%3eAvantiq reserves the right to amend%2c extend%2c limit or withdraw features of its service at any time%2c and reserves the right to assign or otherwise transfer all or any part of its rights and obligations under this Agreement to a third party or third parties.%3c/p%3e%3ch3%3e6. SYSTEM ACCESS%3c/h3%3e%3cp%3eAvantiq will use its best endeavours to provide The Client with access to its service during normal European%2c North American and South East Asian business hours. Avantiq reserves the right to withdraw access to the service%2c or a part or parts thereof from time for essential repair or maintenance work on the computer%2c for updating files or for inspection purposes%2c essential repair or maintenance work on telecommunications equipment%2c or for any reason beyond its control%2c including force majeure.%3c/p%3e%3cp%3eForce majeure includes the consequences%2c direct or indirect%2c of any labour disputes %28including strikes or lockouts%29%2c fires%2c accidents%2c floods%2c war%2c riots%2c civil commotion%2c transportation or communication failures or delays%2c failure or delays of data suppliers or other sources from which information or other data is obtained%2c government acts or requirements%2c or other like or different factors beyond the control of Avantiq%2c and shall excuse performance by Avantiq under this Agreement to the extent that performance is prevented or delayed thereby.%3c/p%3e%3ch3%3e7. AVANTIQ LIABILITY%3c/h3%3e%3cp%3eThe Client hereby agrees that in no event shall Avantiq or its affiliates or subsidiaries%2c or the information providers whose data is loaded for use in connection with the Avantiq service%2c be liable for consequential or incidental damages or for any damages%2c liabilities%2c claim or demand of any nature or kind whether asserted against Avantiq%2c its affiliates or subsidiaries%2c or the information providers%2c or against The Client%2c by any third party arising out of or resulting from the services%2c information%2c data%2c or other materials provided under this Agreement%2c or their use. This applies to all the foregoing other than in case of wilful breach or gross negligence. The obligation of this paragraph shall survive the determination of this Agreement.%3c/p%3e%3cp%3eAvantiq makes no warranty%2c express or implied%2c that the information contained in any of its files is useful%2c accurate or up to date.%3c/p%3e%3cp%3eAvantiq will use its best endeavours to ensure%2c so far as it reasonably can%2c that its on-line search service performs as set out in The Client Guide%2c but shall not be responsible for any delay or defect in the performance of the service beyond a maximum liability to correct any failure%2c or to remit its fees in connection with such failed performance.%3c/p%3e%3cp%3eInspiro Client User Agreement 2%3c/p%3e%3cp%3eInspiro Client User Agreement 3%3c/p%3e%3ch3%3e8. NOTICES%3c/h3%3e%3cp%3eAll notices%2c requests%2c demands and other communications hereunder shall be in writing and shall be sent to the other party at the address set forth at the head of the Agreement or any other such address as may have been furnished by such other party in writing.%3c/p%3e%3ch3%3e9. GOVERNING LAW AND JURISDICTION%3c/h3%3e%3cp%3eThis Agreement is subject to the laws of Switzerland. The competent courts shall be those of the Canton of Zug exclusively.%3c/p%3e%3c/body%3e%3c/html%3e
